Agreement to these Terms

These Terms govern your access to and use of HyperionX websites, applications, beta programs, software, APIs, content, tools, subscriptions, and related services provided by HyperionX LLC, a Wyoming limited liability company. By accessing or using HyperionX, you agree to these Terms. If you do not agree, do not use HyperionX.

Eligibility

• You must be legally able to enter into these Terms and use HyperionX in your jurisdiction.
• You are responsible for confirming that your use of HyperionX and any trading activity is permitted in your country, state, region, market, exchange, broker account, and product category.
• You may not use HyperionX if you are barred from using the service under applicable law, broker rules, exchange rules, sanctions restrictions, or third-party terms.
• If you use HyperionX on behalf of a company or other entity, you represent that you have authority to bind that entity.

Accounts and security

• You are responsible for the accuracy of the information you provide and for maintaining the security of your account credentials, devices, API keys, broker connections, authentication methods, and connected services.
• You are responsible for all activity that occurs through your account or connected services.
• You must promptly disable access or notify HyperionX if you believe your account, device, keys, or integrations have been compromised.

Software platform only

HyperionX provides software tools for market research, charting workflows, AI assistance, scripting, strategy testing, automation, copy trading workflows, alerts, and related productivity features. HyperionX does not provide personalized investment advice and does not act as your broker, adviser, custodian, exchange, or fiduciary.

Limited license

Subject to these Terms, HyperionX grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the service for your personal or internal business purposes. You may not resell, rent, lease, redistribute, benchmark, frame, mirror, or commercially exploit HyperionX except as expressly permitted in writing.

Trading responsibility

• You are solely responsible for every trade, order, position, strategy, script, copied trader, automation, risk setting, broker connection, and account action you enable, submit, or rely on.
• You must review all AI outputs, scripts, indicators, alerts, backtests, copied workflows, and automations before using them.
• You are responsible for understanding and complying with all broker, exchange, market data, regional, regulatory, tax, and legal obligations that apply to you.
• You may only trade products, markets, and regions for which you are legally permitted, authorized, and approved by the relevant broker, exchange, regulator, or service provider.

Beta features

Beta features may be incomplete, inaccurate, unstable, interrupted, changed, limited, suspended, or discontinued at any time. Beta access does not guarantee continued access, future pricing, final functionality, or production availability.

Subscriptions, payments, and taxes

• Paid plans, trials, renewals, upgrades, downgrades, cancellations, refunds, taxes, and billing terms are shown at checkout, in your account, or in the applicable order flow.
• You authorize HyperionX or its payment processors to charge applicable fees and taxes for the plan or service you select.
• Unless stated otherwise in writing, fees are non-refundable to the maximum extent permitted by law.

Third-party services and integrations

HyperionX may connect to brokers, exchanges, market data providers, payment processors, AI providers, hosting providers, analytics providers, marketplace vendors, and other third parties. HyperionX is not responsible for third-party services, terms, fees, rules, outages, data, execution, security, custody, or decisions.

User content and scripts

• You retain ownership of content, prompts, scripts, indicators, strategy ideas, settings, files, and data you submit, subject to the rights needed for HyperionX to operate, secure, support, and improve the service.
• You represent that you have the rights needed to submit and use your content through HyperionX.
• You may not submit unlawful, infringing, malicious, deceptive, abusive, or harmful content, scripts, files, prompts, or code.

Feedback

If you submit ideas, suggestions, feature requests, bug reports, or other feedback, HyperionX may use that feedback without restriction or compensation to you, while you retain ownership of any underlying content you are legally entitled to own.

HyperionX intellectual property

HyperionX, its logos, designs, software, interfaces, documentation, content, workflows, AI experiences, and platform features are owned by HyperionX or its licensors. Except as expressly allowed, you may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from HyperionX.

Prohibited use

• You may not disrupt, overload, scrape, crawl, probe, bypass, reverse engineer, or interfere with HyperionX or its security controls.
• You may not use HyperionX to violate law, broker rules, exchange rules, data provider rules, intellectual property rights, privacy rights, or third-party terms.
• You may not use HyperionX to transmit malware, unauthorized code, credential-harvesting content, market manipulation, deceptive activity, or abusive automation.

Disclaimers

HyperionX is provided on an as-is and as-available basis. To the maximum extent permitted by law, HyperionX disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and reliability.

Limitation of liability

To the maximum extent permitted by law, HyperionX will not be liable for trading losses, investment losses, lost profits, lost revenue, lost data, business interruption, third-party failures, market data errors, execution issues, AI output errors, indirect damages, incidental damages, special damages, consequential damages, or punitive damages.

Indemnification

You agree to defend, indemnify, and hold harmless HyperionX LLC and its owners, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your use of HyperionX, your content, your trading activity, your connected services, your breach of these Terms, or your violation of law or third-party rights.

Suspension and termination

HyperionX may suspend or terminate access to any feature, account, beta program, integration, or service if we believe continued access creates legal, security, operational, payment, abuse, or platform-risk concerns.

Force majeure

HyperionX will not be responsible for delay or failure caused by events outside its reasonable control, including market disruptions, exchange outages, broker outages, internet failures, cloud provider outages, power failures, cyberattacks, labor disputes, government actions, natural disasters, war, or other force majeure events.

Governing law and disputes

These Terms are intended to be governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute-resolution, arbitration, class-action waiver, venue, and limitation-period language should be finalized by counsel before launch.

Legal notices

Legal notices should be sent to the HyperionX legal or support contact listed on the website or platform. HyperionX should add its verified legal notice email and registered-agent notice process before public launch.

Changes

We may update these Terms from time to time. Continued use of HyperionX after updated Terms become effective means you accept the updated Terms.
